1. Acceptance of Terms

By accessing or using the iCoach Software website and platform ("Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use our Services.

These Terms constitute a legally binding agreement between you and iCoach Software Pty Ltd ("iCoach", "we", "us", "our").

2. Description of Services

iCoach provides a predictive game intelligence platform that uses computer vision and artificial intelligence to analyse broadcast sports footage. Our Services include player tracking, pattern recognition, and predictive analytics for professional sports organisations.

3. Eligibility

Our platform is designed for use by professional sports organisations, coaching staff, analysts, and authorised personnel. You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organisation to use our Services.

4. User Accounts

Access to certain features of the platform requires a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Services
• Reverse engineer, decompile, or disassemble any aspect of the platform
• Use the Services to develop a competing product or service
• Share your account credentials with unauthorised third parties
• Interfere with or disrupt the integrity or performance of the Services
• Use automated means to access the Services without our written consent

6. Intellectual Property

All intellectual property rights in the Services, including software, algorithms, models, designs, and content, are owned by iCoach or its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

Data and insights generated by the platform for subscribing organisations are subject to the terms of the applicable service agreement between iCoach and the subscribing organisation.

7. Data and Content

iCoach processes publicly available broadcast footage to generate analytical data. We do not claim ownership of broadcast content. Our platform generates derivative analytical data including positional tracking, pattern recognition, and predictive outputs.

Subscribing organisations retain ownership of insights and reports generated specifically for their use, subject to iCoach's right to use anonymised and aggregated data to improve the platform.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared in connection with the Services. This obligation survives termination of these Terms.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. While we strive for accuracy in our tracking and predictions, we do not guarantee the accuracy, completeness, or reliability of any data or predictions generated by the platform.

Predictive outputs are intended to support decision-making, not replace professional judgement. iCoach is not responsible for decisions made based on platform outputs.

10. Limitation of Liability

To the maximum extent permitted by law, iCoach shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services.

Our total liability for any claims arising under these Terms shall not exceed the fees paid by you to iCoach in the twelve months preceding the claim.

11. Termination

We may suspend or terminate your access to the Services at any time for breach of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Services ceases immediately.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through the website or by email. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.
